1. SCOPE OF APPLICATION

These Terms and Conditions (“T&C”) apply to all offers, quotations, agreements, and services provided by Maison Metanoïa (“the Studio”, “we”, “us”, “our”) to any client (“the Client”, “you”) located in the Netherlands, Belgium, or Germany, unless expressly agreed otherwise in writing. By engaging our services or visiting our website, you agree to be bound by these Terms and Conditions.

 

2. SERVICES

 

Maison Metanoïa provides interior design and consulting services, including but not limited to:

  • Interior design concept creation

  • Space planning

  • Material and furniture selection

  • Styling and decoration services

  • Project coordination and supervision

 

The exact scope of services will be detailed in a written proposal, quotation, or contract accepted by both parties. Maison Metanoïa’s services are focused on aesthetic and design aspects only. Unless expressly agreed otherwise in writing, the Studio does not provide technical, architectural, construction, or structural engineering advice or supervision. If such services are required, the Client must engage qualified third-party professionals. The Studio may, at the Client’s request, recommend third-party consultants or contractors, but shall not be liable for their performance, delays, or any resulting damages.

 

3. OFFERS AND QUOTATIONS

  • All offers and quotations are non-binding unless expressly stated otherwise.

  • Quotations remain valid for 30 calendar days from the date of issue.

  • Prices are stated in euros (€), excluding VAT unless stated otherwise.

  • We reserve the right to correct clerical or typographical errors in quotations or communications.

 

4. FEES, PAYMENTS, AND DEPOSITS

  • Payment terms will be set out in the quotation or invoice.

  • Unless agreed otherwise, a deposit of 30–50% of the total fee is due before work begins.

  • The remaining balance must be paid within 14 days of the invoice date.

  • Late payments may incur statutory interest and administrative costs in accordance with Dutch Civil Code (Article 6:119).

  • All design work remains the property of Maison Metanoïa until full payment has been received.

 

5. CANCELLATION AND RESCHEDULING

  • The Client may cancel the agreement in writing prior to the start of services.

  • If cancelled after work has commenced, the Client is liable for all costs incurred up to the cancellation date.

  • Maison Metanoïa reserves the right to cancel or reschedule due to unforeseen circumstances (e.g., illness, force majeure). In such cases, deposits will be refunded proportionally.

 

6. DELIVERY AND PROJECT TIMELINE

  • Any delivery or completion dates are indicative and not legally binding unless expressly agreed in writing.

  • Delays caused by suppliers, contractors, or other third parties are not the responsibility of Maison Metanoïa.

 

7. INTELLECTUAL PROPERTY

  • All sketches, designs, drawings, concepts, and presentations created by Maison Metanoïa remain intellectual property of the Studio.

  • The Client may use them solely for the agreed project and may not reproduce, modify, or share them without prior written consent.

  • The Studio reserves the right to use project images and materials for marketing and portfolio purposes, unless the Client objects in writing before publication.

 

8. CLIENT RESPONSIBILITIES

  • The Client must provide accurate information, timely feedback, and necessary access to the property or site.

  • The Client is responsible for securing all required permits, approvals, or consents (if applicable).

  • If the Client engages third-party contractors, builders, or suppliers, they remain solely responsible for their performance and compliance with applicable regulations. The Studio’s role in coordinating or advising such third parties is advisory only.

 

9. LIABILITY

  • Maison Metanoïa will perform its services with due care and professionalism.

  • However, we are not liable for:

    • Indirect or consequential damages, including loss of profit or reputation;

    • Defects or delays caused by third parties (e.g., contractors, suppliers);

    • Errors resulting from inaccurate information provided by the Client.

  • Our total liability shall not exceed the total amount invoiced for the relevant service.

  • Nothing in these Terms limits liability for death, personal injury, or fraud.

 

10. THIRD-PARTY SERVICES AND PRODUCTS

If we recommend or coordinate third-party contractors, suppliers, or service providers, such arrangements are between the Client and the third party. Maison Metanoïa is not a party to such contracts and cannot be held responsible for their performance or products.

 

11. FORCE MAJEURE

Maison Metanoïa is not liable for failure or delay in performance due to causes beyond our reasonable control, including but not limited to:

  • Natural disasters, pandemics, or extreme weather;

  • Fire, flood, or power failure;

  • Strikes, lockouts, or labour disputes;

  • Government restrictions or legal actions;

  • Delays or failures by suppliers, manufacturers, or transport providers;

  • Import/export restrictions or supply chain disruptions;

  • Any other unforeseen event beyond the Studio’s reasonable control.

 

In the event of force majeure, obligations are suspended for the duration of the event. If the event lasts longer than 60 days, either party may terminate the agreement without penalty, except for payment of services already rendered.

 

12. COMPLAINTS AND DISPUTES

  • Any complaints must be submitted in writing within 7 days of discovering the issue.

  • We will make reasonable efforts to resolve disputes amicably.

  • If no resolution is reached, disputes will be governed by Dutch law, and submitted to the competent court in Amsterdam, the Netherlands.

13. PRIVACY AND DATA PROTECTION

We handle personal data in accordance with the General Data Protection Regulation (GDPR). Please see our Privacy Policy for more information on how we collect, process, and store personal information.

 

14. GOVERNING LAW

All agreements are governed by Dutch law, regardless of where the Client is located. This applies without prejudice to mandatory consumer protection rights under EU law.

 

15. CHANGES TO TERMS

Maison Metanoïa reserves the right to amend these Terms and Conditions at any time.

The version in effect at the time of contracting shall apply.
